These terms govern access to and use of Servisio, a service owned and operated by SAE Ventures LLC.
1. Acceptance of Terms
By creating an account, signing in, or using Servisio, you agree to these Terms and Conditions. If you do not agree, do not use the service.
2. Service Description
Servisio provides software tools for estimates, jobs, invoices, payment workflows, and related business operations. We may improve, update, or discontinue features from time to time.
3. Account Responsibility
You are responsible for keeping your login credentials secure, for activity that happens under your account, and for ensuring the information you enter into the app is accurate and lawful.
4. Acceptable Use
You may not misuse the service, interfere with its operation, attempt unauthorized access, upload harmful content, or use Servisio in violation of law, payment-network rules, sanctions, trade restrictions, or third-party rights. You agree not to use the service for any illegal, fraudulent, deceptive, abusive, or unauthorized purpose, and you remain solely responsible for your conduct, your customers, your documents, your business practices, and your compliance with all applicable laws.
5. Billing and Paid Features
Paid plans, trial periods, pricing, and feature limits may be described in the app or on related sales pages. Subscription charges are billed through our payment providers and may renew until cancelled according to your plan settings. If you request account closure, billing will continue through the end of the current subscription period already paid for, and no prorated refund or partial-month credit is promised unless required by non-waivable law.
6. Data, Availability, and Backups
We work to keep the service available and reliable, but we do not guarantee uninterrupted operation, perfect accuracy, or permanent availability of every feature, integration, report, record, or stored item. You are solely responsible for maintaining your own backups and copies of customer records, invoices, estimates, jobs, exports, and any other business data you consider important. To the fullest extent permitted by law, Servisio and SAE Ventures LLC are not responsible for loss, corruption, deletion, inaccessibility, delay, or failure to recover data, even if that data was stored in or processed through the service.
7. No Professional Advice
Servisio is a software tool only. It does not provide legal, tax, accounting, insurance, compliance, or financial advice. You are responsible for reviewing your business documents, pricing, taxes, contracts, and records before relying on them.
8. Limitation of Liability
To the fullest extent permitted by law, Servisio, SAE Ventures LLC, and their owners, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost business opportunities, lost savings, loss of goodwill, business interruption, or loss, corruption, destruction, or recovery costs of data, arising out of or related to the service, whether the claim is based in contract, tort, negligence, strict liability, statute, or any other theory. To the fullest extent permitted by law, the total aggregate liability of Servisio and SAE Ventures LLC for all claims arising out of or relating to the service will not exceed the greater of (a) the total amount paid by you to SAE Ventures LLC for the service in the six months immediately preceding the event giving rise to the claim, or (b) twenty-five U.S. dollars (US $25) if you have not paid any fees. These limitations apply even if a remedy fails of its essential purpose and even if we were advised that damages were possible.
9. Disclaimer of Warranties
The service is provided by SAE Ventures LLC on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
10. Indemnification
You agree to defend, indemnify, and hold harmless Servisio, SAE Ventures LLC, and their owners, officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, and expenses arising from your use of the service, your content, your customer interactions, your violation of these terms or applicable law, or any illegal, fraudulent, deceptive, abusive, or unauthorized activity connected to your account or business operations.
11. Termination
We may suspend or terminate access if we reasonably believe your use creates legal, security, payment, abuse, or operational risk, or if you violate these terms.
12. Changes to Terms
We may update these terms from time to time. Continued use of the service after updated terms become effective means you accept the revised terms.
13. Governing Law, Arbitration, and Venue
These terms and any dispute arising out of or relating to the service will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to the service or these terms will be resolved by binding individual arbitration administered in Pennsylvania, rather than in court, except that SAE Ventures LLC may seek injunctive or equitable relief in any court of competent jurisdiction to protect its rights, confidential information, systems, or intellectual property. You and SAE Ventures LLC waive any right to a jury trial except where such waiver is prohibited by law.
14. Class Action Waiver
To the fullest extent permitted by law, you and SAE Ventures LLC agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, coordinated, consolidated, mass, or representative action or proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding except where required by non-waivable law.
15. Geographic Use, Restricted Jurisdictions, and Compliance With Local Laws
Servisio is operated from the United States. If you access or use the service from outside the United States, you do so at your own risk and are responsible for compliance with local laws, taxes, regulations, data-transfer requirements, and any rules that apply to your customers, documents, pricing, notices, or business operations. We make no representation that the service is appropriate, lawful, or available in every location. SAE Ventures LLC may suspend, restrict, or refuse service in any jurisdiction or to any user where legal, regulatory, sanctions, fraud, operational, or business-risk concerns make access undesirable or impractical.
16. Maximum Enforceability
All disclaimers, liability limits, exclusions, indemnities, and protective provisions in these terms apply to the maximum extent permitted by applicable law. If any provision is held unenforceable in a particular jurisdiction, it will be enforced to the maximum extent allowed there, and the remaining provisions will continue in full force and effect.
